Terms of Service

These Terms of Service ("Terms") govern your use of ThemeForge, an AI-powered Shopify theme generator operated by [PLACEHOLDER: legal entity name]("ThemeForge", "we", "us", "our"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

Beta notice: ThemeForge is currently in beta. The service may be incomplete, subject to breaking changes, and provided without uptime guarantees.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use ThemeForge. By using the service, you represent that you meet this requirement. You must provide accurate information when creating your account.

2. Service description

ThemeForge provides an AI-powered wizard that generates Shopify 2.0 theme files (Liquid templates, CSS, and JSON configuration) based on your inputs. Generated themes are provided as downloadable ZIP archives. We use Anthropic's Claude AI to generate theme code on your behalf.

AI-generated output disclaimer: Themes are generated by AI and may contain errors, incomplete implementations, or code that requires adjustment before use in production. We make no guarantee that generated themes will be free from bugs, compatible with all Shopify features, or suitable for any specific business purpose. You are responsible for reviewing, testing, and deploying generated themes.

AI training:Your wizard inputs are sent to Anthropic to generate your theme. Anthropic may use API inputs and outputs to improve their models unless you have opted out under Anthropic's usage policies. ThemeForge does not use your data to train any AI model.

ThemeForge is not affiliated with or endorsed by Shopify Inc.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@themeforge.dev if you suspect unauthorized access.

We may suspend or terminate your account if we have reason to believe you have violated these Terms or if required by law.

4. Ownership of generated themes

You own the themes you generate through ThemeForge. We do not claim any intellectual property rights in the output. You may use generated themes for any lawful purpose, including commercial Shopify stores and client projects.

You retain ownership of all content you provide as input (store name, product descriptions, etc.). By submitting inputs, you grant us a limited license to process that data solely for the purpose of generating your theme.

Note: AI-generated code may share structural or stylistic similarities with code generated for other users. We do not warrant that generated themes are unique or free from third-party IP claims.

5. Acceptable use

You agree not to:

  • Use the service to generate malicious, illegal, harmful, or deceptive content
  • Attempt to circumvent rate limits, generation limits, or subscription restrictions
  • Use the service to build or operate a competing AI theme generation service
  • Share, resell, or sublicense access to your account
  • Attempt to reverse-engineer, scrape, or extract our AI prompts or generation logic
  • Violate any applicable law or third-party rights while using the service
  • Agency users: input false or unauthorized client information; you represent that you have authorization to use client names and email addresses stored in the system

We reserve the right to suspend access to accounts that violate this section without prior notice.

6. Billing and subscriptions

Plans

  • Free — 1 theme generation per calendar month. No payment required.
  • Pro — $29 USD/month. Unlimited theme generations, full theme history, priority support.
  • Agency — $99 USD/month. Everything in Pro, plus client workspaces, bulk ZIP downloads, and up to 5 team member seats.

Billing

Paid subscriptions are billed monthly in advance via Stripe. Your subscription renews automatically on the same date each month. You authorize us to charge the payment method on file for each renewal period.

Cancellation

You may cancel your subscription at any time through the billing portal (accessible from your dashboard). Cancellation takes effect at the end of the current billing period — you retain paid access until that date. We do not offer prorated refunds for unused time in a billing period.

Generation limits

Free tier generation counts reset on the first day of each calendar month. Unused generations do not roll over. Pro and Agency tiers have no generation limits.

Failed payments

If a payment fails, Stripe will attempt to retry the charge according to its dunning schedule. If payment cannot be collected, your account will be downgraded to the Free tier at the end of the current billing period.

Price changes

We may change our pricing with at least 30 days' notice by email. Continued use of a paid tier after the effective date constitutes acceptance of the new price.

7. Agency tier — client and team data

Agency subscribers may create client workspaces that store client names, email addresses, and notes. You are the data controller for this information. You represent and warrant that:

  • You have a lawful basis under applicable privacy law (e.g., contractual necessity or consent) to store your clients' information in ThemeForge
  • You will inform your clients that their name and email address are stored in a third-party SaaS tool for project management purposes
  • You will respond to any data subject requests from your clients regarding data held in ThemeForge, and may contact us to assist

Agency subscribers may invite up to 5 team members. You are responsible for the actions of team members who access your account. You may remove team members at any time from the team settings page.

8. Termination

You may delete your account at any time by contacting us at support@themeforge.dev. Deleting your account cancels your subscription and permanently deletes your stored themes, client workspaces, and team memberships. Downloaded themes remain yours.

We may terminate or suspend your account without notice for violation of these Terms, fraudulent activity, or for any reason at our sole discretion during the beta period. We will provide at least 30 days' notice for non-violation terminations once the service exits beta.

9. Disclaimer of warranties

In plain terms: we provide the service as-is. AI generates the themes — we can't guarantee they'll be perfect, bug-free, or compatible with your specific Shopify setup.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

  • Generated themes will be error-free, functional, or suitable for your specific use case
  • Generated themes will be compatible with any specific version of Shopify or any Shopify apps
  • The service will be available without interruption, particularly during the beta period
  • AI-generated output will meet any particular quality standard

10. Limitation of liability

In plain terms: if something goes wrong, our financial exposure to you is capped at what you've paid us in the last 12 months (or $50, whichever is more).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THEMEFORGE OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST REVENUE, LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR GENERATED THEMES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) $50 USD.

Some jurisdictions do not allow limitation of certain implied warranties or exclusion of certain damages, so the above limitations may not apply to you in full.

11. Indemnification

You agree to indemnify and hold ThemeForge harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the service; (b) content you provide as input; (c) themes you deploy to production; (d) your violation of these Terms or any applicable law; or (e) as an Agency subscriber, any data protection claim arising from client or team member data you store in the service.

12. Governing law

13. General

  • Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and ThemeForge regarding the service.

  • No waiver: Our failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights and obligations without restriction.
  • Changes:We may update these Terms as the service evolves. We will update the "Last updated" date and notify you by email for material changes. Continued use after the effective date constitutes acceptance.
